Between House of Aroma (“Platform”, “We”, “Us”) and [Store / Supplier Legal Name] (“Seller”, “You”).
By creating an account, connecting a Shopify store, uploading products, or using our Platform, you automatically agree to this Agreement and our Terms of Service, Pricing Policy, Shipping Policy, Refund/Returns Policy, and Privacy Policy (collectively, “Platform Policies”). If you disagree, do not use the Platform.
1.1 Aggregator. House of Aroma is a technology aggregator that connects Sellers, Resellers, Payment Processors, and Logistics Partners. We do not manufacture, own, store, pack, ship, or warrant goods; we are not the merchant of record.1.2 Independence. You operate as an independent business; nothing here creates agency, joint venture, employment, franchise, or partnership.1.3 Priority of Policies. If there is a conflict between this Agreement and Platform Policies, the more protective clause for House of Aroma applies.
2.1 Listing & Display. You authorize us to host, display, cache, index, transmit, and promote your Store Name, Logos, Trademarks, Product Content, Prices, Stock across our Platform and integrated sales channels.2.2 Order Routing. You authorize us to receive orders, collect money via authorized processors, transmit order details to you and/or your chosen 3PL, and share tracking data with buyers/resellers.2.3 Brand/Content License. You grant a non-exclusive, royalty-free, worldwide license to use your brand/content solely to enable sales and marketing on/through the Platform. You warrant you own or have rights to all materials.
3.1 Accuracy: Provide accurate product data, pricing, tax class (GST), HSN, stock, and dispatch SLAs; promptly reflect changes.3.2 Compliance: Ensure compliance with applicable laws (GST, Legal Metrology, FSSAI/BIS where applicable, Drugs & Cosmetics, E-waste, IP).3.3 Quality & Authenticity: List only genuine goods; maintain transit-worthy packaging; include legally required declarations/labels.3.4 Timely Fulfillment: Accept or reject orders within stated window; pack and hand over within SLA; provide working tracking IDs.3.5 Customer Handling: Honor valid returns/replacements per your policy and law; respond to tickets within 48 hours.3.6 No Circumvention: You will not solicit Platform buyers/resellers off-platform to avoid fees while using our listing/traffic/ops.
4.1 Your Prices: You set base prices (subject to MRP/MAP and law).4.2 Platform Fees: We may charge service fees/commissions/subscriptions as published; we may revise with immediate effect upon notice in the dashboard/website.4.3 Split Settlement: Where enabled, we facilitate split payouts (Seller / Reseller / Platform fees). Bank/gateway timelines vary.4.4 Adjustments: We may hold/offset amounts for chargebacks, fraud, RTO costs (as per courier policy), or regulatory claims.4.5 Taxes: Seller is responsible for GST and tax invoices to buyers/resellers. We do not alter Seller invoices nor provide tax advice.
5.1 3PL. Shipping is via independent Logistics Partners or your 3PL. We do not guarantee ETAs and are not liable for transit loss/delay.5.2 Risk/Title. Title and risk remain with you until handed to the courier; then as per courier terms.5.3 RTO. RTO, storage, redelivery, and address-correction costs are not borne by House of Aroma. (See Shipping/Refund Policies.)
6.1 Non-Infringement: Your listings must not infringe third-party IP.6.2 Takedown: We may delist or disable content upon credible IP complaints, illegal/prohibited products, or policy breaches.
7.1 Minimal Use: Use Personal Data shared via the Platform only for order fulfillment and lawful after-sales service. No resale or independent marketing without consent.7.2 Safeguards: Maintain reasonable security (access control, encryption in transit, malware protection). Notify us of incidents without undue delay.7.3 Compliance: Follow the DPDP Act 2023, IT Rules 2021, and our Privacy Policy.7.4 Processors: We may use sub-processors (hosting, analytics, comms) under confidentiality and data-protection terms.
You must not list: counterfeit/illegal goods; narcotics; weapons; obscene/explicit items; endangered wildlife; hazardous chemicals; unapproved health/medical devices; stolen goods; and any items restricted by law, payment gateways, or couriers. (See Annex A.)
9.1 Product Warranties: If your products carry brand/Seller warranties, you will honor them directly.9.2 Returns/Refunds: You agree to process valid returns/replacements per your published policy and our Refund/Returns Policy timelines (evidence, claim windows).9.3 Investigations: You will cooperate with courier/insurance investigations (unboxing video, images, packaging retention).
We may pause payouts, require additional KYC, or claw back amounts on chargebacks, counterfeit claims, fraud, or breaches. You agree to provide supporting documentation upon request.
We may suspend or terminate access for non-compliance, illegal listings, excessive SLA breaches, or risk. You may terminate with 7 days notice. Post-termination, we reconcile dues and remit eligible balances net of adjustments within 15 business days.
12.1 Indemnity. You indemnify House of Aroma against claims arising from your products, listings, taxes, IP, shipping issues, misuse of data, or law breaches.12.2 Liability Cap. To the maximum extent permitted by law, our aggregate liability shall not exceed INR 1,000 and excludes indirect/special/consequential damages.
Indian law governs; Bangalore, Karnataka courts have exclusive jurisdiction. We may elect arbitration under the Arbitration and Conciliation Act, 1996 with a sole arbitrator seated in Bangalore.
We may update this Agreement/Policies anytime by posting updates. Continued use = automatic acceptance.

S1. Shopify Terms PrioritySeller must comply with Shopify’s Terms of Service, Partner/Developer Policies, API License & Terms, and Acceptable Use Policy (AUP). If Shopify requires removal or change, Seller agrees to comply. Nothing in this Annex grants rights that conflict with Shopify’s terms.
S2. Store Connection & ScopeSeller authorizes House of Aroma (via App/API) to access limited data necessary for:
Catalog sync (products, variants, inventory)
Orders (create/read/update), refunds status, fulfillments, tracking numbers
Basic customer contact fields needed for fulfillmentAccess is scoped and revocable by uninstalling the app or revoking tokens.
S3. Rate Limits & WebhooksSeller acknowledges Shopify API rate limits and will not demand operations that exceed them. Seller will keep webhooks enabled for order/fulfillment events to avoid desync.
S4. Checkout & Merchant of RecordCheckout occurs on Seller’s Shopify storefront (or via Platform checkout if explicitly enabled). Seller remains merchant of record for buyer invoices and taxes.
S5. Scripts/TrackingAny storefront scripts or pixels injected by the app are for fulfillment/analytics/fraud prevention. Seller will disclose cookies/trackers in its privacy policy.
S6. Returns & RMAIf Seller manages RMAs in Shopify, Seller will mirror outcomes in the Platform for payout reconciliation.
S7. Uninstall EffectsOn uninstall/revocation, we cease new sync; historical data may be retained per legal retention. Outstanding orders continue under existing Platform Policies.
I1. Hosted StorefrontWhere we provide a white-label storefront/domain, we act as platform host only. Seller is responsible for all storefront content, legal pages, and product legality.
I2. PaymentsPayments are processed via authorized gateways under Seller’s MID or Platform MID with split settlement. Fees and payout schedules apply as per dashboard.
I3. Checkout, Taxes & InvoicesSeller is the merchant of record; Seller’s GST invoice is issued to the buyer. Platform does not modify invoices.
I4. Design & ContentSeller warrants that all copy, images, reviews, and claims on the hosted storefront are legal and accurate. We may remove content that violates law or Platform Policies.
I5. Downtime & SLAThe hosted store is provided as-is. We target high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated when feasible.
I6. Domain & DNSIf Seller uses a custom domain, Seller will update DNS as instructed. On termination, Seller is responsible for removing Platform DNS records.
A1. Prohibited UsesNo illegal activities; counterfeit/IP-infringing goods; unsafe/recall-listed goods; weapons; adult explicit; narcotics; unapproved medical devices/drugs; gambling; money-laundering; hate or extremist materials; malware/spam.A2. High-Risk (require prior written approval): Supplements, cosmetics, PPE/medical, batteries/power banks, children’s items, food/perishables.A3. MarketingNo misleading claims, fake scarcity, fake reviews, or undisclosed endorsements.A4. DataNo harvesting, reselling personal data, or contacting buyers outside lawful bases.
D1. RolesFor buyer data, Seller is Data Fiduciary/Controller; House of Aroma is Data Processor/Service Provider.D2. InstructionsWe process Personal Data only on Seller’s documented instructions (this Agreement, dashboard settings), to provide services.D3. SecurityWe implement reasonable technical/organizational measures (TLS, access control, logging, least-privilege).D4. Sub-processorsWe may engage vetted sub-processors (hosting, email/SMS/WhatsApp, analytics, support) under written terms; list available on request.D5. IncidentsWe notify Seller without undue delay of a confirmed security incident impacting Seller data and share remediation updates.D6. Retention/DeletionPost-termination, we delete or anonymize Personal Data within standard retention periods unless law requires retention.D7. AuditsWe provide summary security information reasonably necessary to demonstrate compliance (e.g., policies, SOC reports of infra providers), without divulging other customers’ data or trade secrets.
