By listing products on House of Aroma, every Supplier grants Resellers broad rights to remarket and (where permitted) rebrand those products and acknowledges the Platform’s role as a technology aggregator only.If you do not agree, do not list products or use the Platform.
Upload Click-Wrap: During each product upload, the Supplier must tick “I agree to the Rebranding, Remarketing & Pricing License”. Uploading = binding acceptance.
Supplier: Any individual or entity uploading and listing products on House of Aroma.
Reseller: A user who lists, markets, or sells Supplier-listed products to end customers via the Platform or connected channels.
Rebrand: Modifying product presentation, packaging (where permitted), marketing copy, or storefront branding so the product is sold under the Reseller’s trade name or identity.
Remarket: Promoting, advertising, and selling a product through any legal sales channel (Shopify, Instagram, WhatsApp, etc.).
Licensed Content: Product images, descriptions, trademarks, logos, and creative assets uploaded by the Supplier.
By listing a product, the Supplier irrevocably grants to House of Aroma and all Resellers a non-exclusive, sublicensable, royalty-free, worldwide license to:
Display, copy, and distribute Licensed Content to market, sell, and fulfill orders.
Translate, adapt, modify, or reformat Licensed Content for marketing (i.e., rebrand and remarket).
Create derivative creatives, product bundles, and alternate listings using the Licensed Content.
Set resale prices freely, unless restricted by law or disclosed MRP/MAP terms.
This license continues while the listing is live and survives for active orders in process.
Non-exclusive: Supplier retains ownership and may sell elsewhere.
No trademark transfer: Supplier branding remains Supplier property unless separately licensed.
Physical alteration: Resellers may not alter the product formula or packaging unless authorized and legally compliant.
White/private label: Allowed for marketing purposes only—not ownership transfer.
The Supplier confirms:
Full ownership or rights to license all uploaded materials.
Legal compliance with all category laws (FSSAI, BIS, Cosmetics, Drugs & Devices, etc.).
Correct and visible Legal Metrology labeling: MRP, batch, manufacture/importer details.
Substantiated marketing and performance claims.
Product Liability Insurance (recommended minimum ₹25,00,000 coverage).
Ability to execute recalls or safety actions within India if required.
GTIN/Barcode ownership, where used.
No counterfeit, stolen, or infringing content.
Resellers must:
Market truthfully; no false claims or misrepresentation.
Comply with ASCI advertising guidelines and consumer laws.
Follow ad-platform policies (Meta, Google, etc.) for regulated categories.
Use genuine Supplier claims for regulated products.
Retain evidence of ad creatives, order confirmations, and delivery proofs for 24 months.
Not fabricate testimonials or reviews.
Respect “Not for Rebrand” flags.
Use buyer data only for fulfillment.
Avoid unethical or black-hat selling practices.
Resellers may set any resale price unless:
A legal MRP must be displayed, or
A valid, disclosed MAP agreement exists between Supplier and Reseller.House of Aroma is not responsible for market pricing disputes.
Each product listing must display one of:
Full Rebrand Allowed
Remarket Only (Supplier brand must remain visible)
Not for Rebrand
Suppliers may also upload brand-use guidelines or release forms for creative assets featuring models or locations.Absent restrictions, Suppliers authorize good-faith rebranding and resale.
Complaint Process:
Submit written proof of ownership to legal@[yourdomain].com.
Platform acknowledges within 48 hours.
Listing may be suspended pending investigation.
Both parties must respond within 72 hours.
Bad-Faith Penalty: False or harassing complaints may lead to account suspension, fines, or payout offsets.Escrow Hold: Platform may withhold relevant funds until resolution.
Suppliers and Resellers must keep:
Manufacturing/import invoices
Certification copies
Ad creatives and campaign IDs
Courier tracking logs
Unboxing videos/photos (where relevant)for 24 months post-sale.House of Aroma may audit or request documents anytime for verification.
Supplier indemnifies House of Aroma and Resellers for product or IP violations.
Reseller indemnifies House of Aroma for misrepresentation or unlawful marketing.
Payout holds: The Platform may hold funds for chargebacks, counterfeit reports, or compliance checks.
Liability cap: House of Aroma’s total liability ≤ ₹1,000.
Suppliers must ensure:
Strong, courier-compliant packaging (no leakage/breakage).
Accurate, matching barcodes and SKU codes.
Legal declarations, batch/expiry info, and invoices included in shipment.
Suppliers must:
Inform House of Aroma within 24 hours of any recall/safety event.
Halt shipments, coordinate replacements/refunds.
Bear all logistics and regulatory costs of recalls.
Platform may delist affected listings and notify buyers if necessary.
Suppliers may mark listings as:
Territory Restricted (e.g., India-only), or
Channel Restricted (e.g., no Amazon sales).Resellers must honor these flags.
High-risk categories (supplements, fragrances, medical/PPE, electronics) may require prior approval.
For electronics, batteries, or packaging, Supplier must:
Hold valid EPR registration or partner certificate.
Follow Hazmat/IATA transport and labeling rules.
Fast Track: Internal resolution within 5–10 business days.
Formal: If unresolved, legal proceedings per Section 17.During dispute, payouts may remain on hold.
No party is liable for failures due to natural disasters, strikes, network failures, or government restrictions.Existing payout holds remain until normalcy resumes.
These terms are governed by the laws of India.All disputes are subject to the exclusive jurisdiction of Bangalore, Karnataka courts or arbitration under the Arbitration and Conciliation Act, 1996.
If these terms conflict with any other policy, interpretation most protective of House of Aroma’s aggregator role prevails.
Sections 4, 7–12, 14–18 survive termination.
Using the Platform or listing a product = automatic acceptance of these terms.House of Aroma may revise them at any time; continued use implies acceptance.
