This Listing, Prohibited Products & IP Compliance Policy (“Policy”) applies to every supplier, lister, manufacturer, importer, stockist, trader, brand owner, or other seller-panel user (“Lister”, “Supplier”, “you”) who uploads, syncs, publishes, activates, edits, or maintains any listing, catalog content, product data, pricing, image, video, trademark, logo, specification, or inventory feed on Dropspot.
This Policy forms part of the Dropspot Lister / Supplier Panel Terms. By using the seller panel or keeping any listing live on Dropspot, you agree to comply with this Policy at all times.
You may list only those products and product-related materials that you are legally entitled to upload, market, distribute, fulfil, and allow others in the Dropspot ecosystem to resell.
If there is doubt, do not list it.
Dropspot may remove, restrict, suppress, or block any listing at any time if it believes the listing creates legal, intellectual property, safety, fraud, consumer, or reputational risk.
For every product you upload or keep live, you must ensure that:
2.1 you have full legal right and authority to sell the product and permit its resale through the Dropspot ecosystem;
2.2 the product is genuine, lawful, safe, and accurately described;
2.3 the product is not counterfeit, pirated, unauthorised, stolen, prohibited, restricted, expired, recalled, adulterated, or otherwise unlawful;
2.4 all titles, descriptions, images, brand names, logos, specifications, claims, dimensions, ingredients, materials, pack quantities, and variants are true, complete, current, and not misleading;
2.5 all content uploaded by you may lawfully be used by Dropspot and registered downstream sellers/resellers for the purpose of displaying, promoting, and selling the listed product;
2.6 the product and its sale comply with all applicable laws, regulations, sectoral rules, product standards, tax laws, labelling rules, and advertising restrictions applicable to that category;
2.7 you hold all invoices, authorisations, approvals, registrations, test reports, certificates, and supporting documents required for the product.
You must not upload, sync, activate, or maintain any listing for:
3.1 counterfeit, fake, replica, pirated, or unauthorised branded goods;
3.2 products that infringe or misappropriate any copyright, trademark, design, patent, trade dress, trade secret, publicity right, privacy right, or other proprietary right;
3.3 products using brand names, logos, copyrighted images, packaging, or product content without adequate rights or authorisation;
3.4 products that are illegal, banned, restricted, unsafe, recalled, spurious, adulterated, expired, or non-compliant with applicable law;
3.5 products with false, deceptive, unverified, or misleading claims, labels, certifications, approvals, ratings, endorsements, ingredients, composition, origin, or specifications;
3.6 products that require mandatory registrations, licences, declarations, or approvals which you do not hold;
3.7 products that cannot lawfully be marketed, sold, delivered, or fulfilled in the territory in which they are offered;
3.8 any product specifically prohibited by Dropspot from time to time.
Dropspot may publish category-specific restrictions separately, and you must comply with those as well.
4.1 You must not list any product or upload any material that infringes or may reasonably be alleged to infringe another party’s intellectual property rights.
4.2 You must not:
use another brand’s trademark in a misleading or unauthorised manner;
use copied catalogue images, videos, manuals, packaging shots, creatives, or descriptions without proper rights;
use “compatible with”, “inspired by”, “same as”, “replica”, “lookalike”, or similar wording in a way that causes confusion or infringement risk;
list goods that falsely suggest brand affiliation, authorisation, or endorsement.
4.3 If you list branded goods, you must be able to prove lawful source, authorisation, or entitlement to sell upon request.
4.4 If you list generic or white-label goods, you remain fully responsible for ensuring that the product, packaging, branding, and content do not infringe any third-party rights.
Every listing uploaded by you must be accurate and match the actual product supplied.
You must ensure that:
5.1 product title clearly identifies the item and does not contain deceptive or irrelevant keywords;
5.2 product descriptions are factual and not exaggerated or misleading;
5.3 product images reflect the actual item being supplied and are not materially deceptive;
5.4 all variants, quantities, colours, sizes, pack counts, and specifications are correctly stated;
5.5 price inputs, MRP references, discount references, and bundle details are truthful and not manipulative;
5.6 all mandatory statutory disclosures applicable to the product are correctly provided;
5.7 content is professional and does not contain unlawful, obscene, defamatory, abusive, or misleading material.
You acknowledge that downstream sellers/resellers may rely on the information provided by you. You are solely responsible for any loss, complaint, return, defect claim, mis-selling claim, or regulatory issue arising from incorrect or incomplete listing content supplied by you.
You must maintain valid documentary proof for every listing, including where applicable:
6.1 purchase invoices;
6.2 manufacturer or distributor authorisation letters;
6.3 import documents;
6.4 GST and tax records;
6.5 product registrations, approvals, and licences;
6.6 test reports or certifications;
6.7 batch records, traceability records, and warranty support documents;
6.8 any other document reasonably requested by Dropspot.
Dropspot may request such documents at any time before listing, after listing, after complaint, during investigation, during payout review, or after account suspension.
Failure to provide satisfactory documents within the timeline specified by Dropspot may result in listing takedown, payout hold, relisting restriction, account suspension, or termination.
You are solely responsible for ensuring that your products comply with all laws applicable to the product category, including product safety, packaging, labelling, tax, import, advertising, consumer protection, and sector-specific compliance obligations.
Dropspot does not undertake category-by-category pre-clearance of every listing and does not assume responsibility for the legal compliance of products uploaded by you.
If a product requires prior approval, registration, disclosure, testing, or statutory declarations, you must complete and maintain the same before listing.
By uploading a listing, you confirm that Dropspot and registered downstream sellers/resellers may use your product data, titles, descriptions, images, logos, trademarks, and related assets strictly for displaying, promoting, advertising, and selling that listed product through approved Dropspot-connected channels, as already set out in the Lister / Supplier Panel Terms.
You must not later claim unauthorised use merely because the product was displayed or marketed by a registered reseller within the permitted Dropspot ecosystem.
This does not prevent you from complaining about:
unauthorised use outside the Dropspot ecosystem;
misuse beyond the listed product;
brand misuse unrelated to authorised resale;
altered or deceptive use not permitted by platform policy.
Dropspot may, at its sole discretion:
9.1 ask for additional documents, samples, photographs, packaging proofs, authorisations, or certifications;
9.2 conduct manual or automated review of listings;
9.3 suppress or withhold visibility of listings pending verification;
9.4 flag listings as high-risk;
9.5 restrict certain categories, brands, or sellers from listing;
9.6 require additional onboarding or verification before allowing certain listings.
Any review, verification, or temporary approval by Dropspot does not reduce your responsibility or create a warranty, certification, endorsement, or assumption of liability by Dropspot.
Dropspot may take action against any listing on receipt of:
an intellectual property complaint;
a customer complaint;
a reseller complaint;
a regulator or authority notice;
a court order or government direction;
evidence of misleading content, defect pattern, authenticity concern, or policy breach;
failure by you to provide requested documents.
Actions may include:
listing removal;
listing disablement;
search suppression;
SKU block;
temporary hold;
account-level restrictions;
payout hold or deduction;
permanent delisting;
account suspension or termination.
Dropspot may take such action with or without prior notice.
Voluntary grievance-based action by a platform does not by itself defeat intermediary due-diligence positioning under the IT Rules; it is part of the compliance logic.
11.1 If a listing is removed or disabled for suspected infringement, counterfeiting, compliance breach, misleading content, or other policy violation, you must not relist the same or substantially similar product without prior approval from Dropspot.
11.2 Repeated complaints, repeated takedowns, repeated authenticity issues, repeated returns attributable to product defects, or repeated document failures may result in:
category restrictions;
brand restrictions;
payout reserve or hold;
permanent block on relisting;
account suspension;
permanent removal from the Platform.
11.3 Dropspot may maintain internal records of sellers and listings that have been the subject of removal, disablement, complaints, or repeat violations, consistent with marketplace compliance expectations under the e-commerce rules.
You are solely liable for all consequences arising from your listings and products, including:
intellectual property complaints;
counterfeit allegations;
product defects;
misleading descriptions;
non-compliance with applicable law;
regulatory notices;
customer claims;
reseller disputes;
refunds, returns, reversals, and losses attributable to your listing or product.
Dropspot’s hosting, routing, visibility, syndication, or operational support does not make Dropspot the manufacturer, brand owner, warrantor, or legal guarantor of your listed products.
You agree to defend, indemnify, and hold harmless Dropspot, its affiliates, officers, employees, agents, reseller users, payment partners, and logistics partners from and against all claims, losses, damages, notices, proceedings, liabilities, penalties, refund costs, reversals, and expenses, including reasonable legal fees, arising from or relating to:
your listings or listing content;
your product’s legality, authenticity, safety, quality, or compliance;
any alleged or actual infringement of intellectual property or proprietary rights;
any false, misleading, incomplete, or deceptive product information supplied by you;
any breach of this Policy or the Lister / Supplier Panel Terms.
Dropspot may interpret and enforce this Policy in its sole discretion.
Dropspot may take protective action even where a complaint is disputed, unresolved, or under review, if Dropspot believes that continuing the listing creates legal, operational, customer, fraud, or reputational risk.
Nothing in this Policy obligates Dropspot to keep a listing live merely because you disagree with a complaint.
The obligations relating to authenticity, compliance, records, indemnity, investigation cooperation, relisting restrictions, and liability survive delisting, suspension, termination, and closure of your seller-panel account.
16.1 Dropspot operates an open marketplace listing model and does not pre-screen, pre-approve, or independently verify every third-party product, image, description, trademark usage, or other listing content before it is made available on the Platform or within the Dropspot ecosystem.
16.2 The Supplier acknowledges and agrees that it is solely responsible for ensuring that every listing uploaded by it, and every product made available through such listing, is lawful, genuine, non-infringing, accurately described, properly authorised, and compliant with all applicable laws and Platform Policies.
16.3 The fact that a listing is published, visible, syndicated, or made available for resale through Dropspot shall not be construed as:
approval, certification, or endorsement by Dropspot;
a representation by Dropspot that the listing is lawful, authentic, or non-infringing; or
an assumption by Dropspot of responsibility for the product, listing, or related rights.
16.4 If Dropspot receives a complaint, notice, claim, or communication from a rights owner, brand owner, customer, reseller, regulator, authority, or any other credible source alleging that a listing or product may be infringing, counterfeit, misleading, unauthorised, unlawful, or otherwise in violation of applicable law or Platform Policy, Dropspot may, at its sole discretion and with or without prior notice:
remove, disable, restrict, or suppress the listing;
suspend related selling privileges;
request invoices, authorisations, licences, or supporting documents from the Supplier;
block relisting of the same or substantially similar product; and
take any further protective action it considers necessary.
16.5 Dropspot’s exercise or non-exercise of any review, takedown, suspension, or enforcement right shall not limit the Supplier’s responsibility or create any liability on the part of Dropspot for the Supplier’s listing, product, or conduct.
16.6 The Supplier agrees that where a complaint or claim relates to intellectual property infringement, counterfeit allegations, brand misuse, product illegality, or other listing-related violations, the Supplier shall fully cooperate with Dropspot, promptly provide all requested supporting documents, and bear sole responsibility for the consequences arising from such listing.
